1. 1.1.These Terms & Conditions (“Terms”) govern your access to and use of the SainTree platform, website, applications, livestreaming services, marketplace services, creator monetisationtools,messagingsystemsandrelatedservices(collectively,the“Platform”).
2. 1.2.ThePlatformisoperatedbyIronTigerInnovationsLimited(“SainTree”,“we”,“us”,“our”).

1. 1.3.ByaccessingorusingthePlatform,youconfirmthat you:

1. - accept these Terms;
  - agree to comply with them; and

are legally capable of entering into a binding agreement.

1. 1.4.IfyoudonotagreetotheseTerms,youmustnotaccessorusethePlatform.

PLATFORM DESCRIPTION
1. 3.1.SainTreeisacreatormonetisationanddigitalmarketplaceplatformthatenablesusers to:

1. - create profiles;
  - upload content;
  - offer subscriptions;
  - livestream;
  - sell digital products;
  - sell physical goods through SainTstore;
  - communicate with other users;
  - engage in coaching, education and fitness-related content creation;
  - receive tips and monetisation payments; and
  - participate in community discussions and interactions.

1. 3.2.SainTreeactssolelyasanintermediaryplatformprovideranddoesnotowncreator content, digital products or marketplace inventory unless explicitly stated.
2. 3.3.Creatorsandsellersoperateasindependentusersandaresolelyresponsibleforthe legality, quality, safety, accuracy and fulfilment of their content, services and products.

ELIGIBILITY
1. 4.1.Generalusersmustbeatleast16yearsoldtoaccessorusethe Platform.

4.2.Usersundertheageof18maynotcreatemonetisedcreatoraccounts,receivepayouts, operate seller accounts or use creator monetisation tools.

4.3.Creators,sellersandmonetisedusersmust:

1. - be at least 18 years old;
  - complete identity verification procedures;
  - comply with applicable laws; and
  - provide accurate account information.

1. 4.4.Wereservetherighttorequestageverification,identityverificationoradditional compliance documentation at any time.

ACCOUNT REGISTRATION
1. 5.1.Youareresponsibleformaintainingtheconfidentialityandsecurityofyouraccount credentials.
2. 5.2.Youmustprovideaccurate,completeandcurrentinformation.

1. 5.3.Youmaynot:

1. - impersonate another person;
  - create misleading identities;
  - use deceptive usernames;
  - create accounts for fraudulent purposes;
  - transfer accounts without authorisation.

1. 5.4.Wereservetherighttosuspend,restrictorterminateaccountsthatviolatetheseTerms.

CREATOR ACCOUNTS
1. 6.1.Creatoraccountsmaymonetisecontentthroughsubscriptions,livestreams,digital products, tips and other approved monetisation tools.
2. 6.2.Creatoraccountsaresubjectto:

1. - identity verification;
  - payout verification;
  - fraud screening;
  - ongoing compliance review.

1. 6.3.Standardcreatorsaresubjecttoa15%platformcommission.

6.4.ProcreatorssubscribedtotheSainTreePromembershipplanat£19.99permonthare subject to a reduced 8% platform commission.

6.5.SainTreereservestherighttomodifyfees,commissionsormonetisationstructureswith reasonable notice.

PAYOUTS
1. 7.1.Creatorpayoutsareprocessedthroughapprovedthird-partypaymentprovidersincluding Stripe Connect or equivalent providers.
2. 7.2.Monetisedearningsaresubjecttoaseven(7)dayrollingreserveperiodbefore becoming available for withdrawal.
3. 7.3.Theminimumpayoutthresholdis £50.

1. 7.4.Payoutsmaybedelayed,withheldorreversedwherenecessary for:

1. - fraud prevention;
  - chargeback protection;
  - regulatory compliance;
  - identity verification;
  - platform investigations;
  - legal obligations.

1. 7.5.Creatorsaresolelyresponsiblefortaxes,reportingobligationsandfinancialcompliance in their jurisdiction.

USER CONTENT
1. 8.1.UsersretainownershipofcontentuploadedtothePlatform.

1. 8.2.Byuploadingcontent,usersgrantSainTreeaworldwide,non-exclusive,royalty-free licence to:

1. - host;
  - store;
  - display;
  - reproduce;
  - distribute;
  - promote;
  - market;
  - adapt for technical purposes;
  - moderate;

feature content within the Platform.

1. 8.3.ThislicencecontinuesforaslongascontentremainsavailableonthePlatform.

1. 8.4.Usersaresolelyresponsibleforcontenttheyupload,publishordistribute.

PROHIBITED CONTENT
1. 9.1.Thefollowingcontentisstrictlyprohibited:

1. - explicit adult content;
  - nudity;
  - illegal content;
  - child exploitation material;
  - harassment or hate speech;
  - violent extremism;
  - scams or fraudulent schemes;
  - deceptive financial schemes;
  - unlicensed gambling operations;
  - illegal drugs or weapons sales;
  - impersonation;
  - malicious deepfakes;
  - copyright infringement;
  - malware or phishing;
  - dangerous or unlawful activities.

1. 9.2.SainTreereservessolediscretiontodeterminewhethercontentviolatestheseTerms.

AI GENERATED CONTENT
1. 10.1.AI-assistedandAI-generatedcontentispermittedprovidedit:

1. - complies with applicable laws;
  - does not impersonate real individuals deceptively;
  - is not fraudulent;
  - does not violate intellectual property rights.

1. 10.2.UsersmayberequiredtodisclosemateriallyAI-generatedcontent.

1. 10.3.Deepfakeimpersonation,deceptiveidentitymanipulationandsyntheticfraudarestrictly prohibited.

LIVESTREAMING 11.0 Basic users may upload content, posts, comments and participate in community features without completing full identity verification, subject to Platform moderation and compliance requirements. 11.0A Users wishing to access livestreaming features may be required to complete additional account verification measures including verified email addresses, verified mobile phone numbers, minimum account age requirements or creator application approval procedures. 11.0B Full identity verification is mandatory before users may monetise livestreams, receive tips, charge subscriptions, sell products or receive payouts through the Platform.

1. 11.1.CSainTreereservestherighttorestrict,suspendordenylivestreamingaccesswhere necessary for moderation, safety, fraud prevention or compliance purposes.
2. Creators may offer livestreams subject to moderation and compliance rules.

1. Livestreams may include:

1. - public livestreams;
  - subscriber-only livestreams;
  - tipped livestreams;
  - educational or coaching livestreams.

1. SainTree reserves the right to:

1. - moderate livestreams;
  - suspend broadcasts;
  - remove streams;
  - restrict livestream access;
  - investigate violations.

MARKETPLACE SERVICES
1. 12.1.SainTstoreenablesindependentsellerstolistphysicalanddigitalproducts.

1. 12.2.SainTreedoesnottakeownershipofsellerinventory.

1. 12.3.Sellersaresolelyresponsiblefor:

1. - product legality;
  - product safety;
  - shipping;
  - fulfilment;
  - taxes;

refunds where applicable;

consumer law compliance.

1. 12.4.Shippingandlogisticsservicesmaybeintegratedthroughthird-partyproviders including Sendcloud.

PAYMENTS & SUBSCRIPTIONS
1. 13.1.CertainPlatformfeaturesrequirepaidsubscriptionsorpurchases.

1. 13.2.Subscriptionsrenewautomaticallyunlesscancelledbeforerenewal.

1. 13.3.PricesdisplayedonthePlatformincludeVATwhereapplicable.

1. 13.4.Paymentprocessingservicesareprovidedbythird-partypaymentprocessors.

1. 13.5.SainTreedoesnotstorefullpaymentcardinformation.

EXTERNAL LINKS
1. 14.1.Creatorsmayincludeexternallinkssubjecttomoderationandcompliancereview.

1. 14.2.SainTreeisnotresponsibleforthird-partywebsites,servicesorcontent.

1. 14.3.Externallinkspromotingprohibitedorillegalcontentmayberemoved.

ACCOUNT TERMINATION
1. 15.1.Usersmayrequestaccountdeletionatanytime.

1. 15.2.SainTreereservestherighttosuspendorterminateaccountsfor:

1. - Terms violations;
  - fraud;
  - chargeback abuse;
  - harmful conduct;
  - illegal activity;
  - platform risk mitigation.

1. 15.3.Wemayretaininformationwhererequiredfor:

1. - legal compliance;

fraud prevention;

tax obligations;
dispute resolution.

INTELLECTUAL PROPERTY
1. 16.1.ThePlatform,includingbranding,logos,software,interfacesandproprietarysystems, are owned by or licensed to SainTree.
2. 16.2.Usersmay not:

1. - copy platform software;
  - scrape platform data;
  - reverse engineer systems;
  - reproduce branding;
  - exploit proprietary systems without permission.

DISCLAIMERS
1. 17.1.ThePlatformisprovidedonan“asis”and“asavailable”basis.

1. 17.2.SainTreedoesnotguarantee:

1. - uninterrupted availability;
  - creator earnings;
  - marketplace sales;
  - livestream performance;
  - audience growth;
  - business outcomes.

1. 17.3.UsersaccessandusethePlatformattheirownrisk.

LIMITATION OF LIABILITY
1. 18.1.Tothemaximumextentpermittedbylaw,SainTreeshallnotbeliablefor:

1. - indirect losses;
  - lost profits;
  - reputational damage;
  - data loss;
  - business interruption;

creator earnings losses.

1. 18.2.NothingintheseTermsexcludesliabilitythatcannotlegallybeexcludedunder applicable law.

INTERNATIONAL USE
1. 19.1.ThePlatformmaynotbeusedinjurisdictionssubjecttosanctions,embargoesorlegal restrictions.
2. 19.2.Usersareresponsibleforensuringcompliancewithlocallaws.

1. 19.3.SainTreereservestherighttorestrictaccessinhigh-riskorprohibitedjurisdictions.

GOVERNING LAW
1. 20.1.TheseTermsaregovernedbythelawsofEnglandandWales.

1. 20.2.ThecourtsofEnglandandWalesshallhaveexclusivejurisdictionoverdisputesarising from these Terms.
